Terms of Service

1. The Service

Simpli-FI ID, operated by Simpli-FI OS LLC, a Texas limited liability company (“Simpli-FI ID,” “we,” or “us”), provides digital identity pages, QR and short-link sharing, profile building tools, contact collection, contact directory features, and related business tools. The service is available in four plans: Ambassador (free), Professional ($2.99/month or $25/year), Founder ($7.99/month or $75/year), and Enterprise (custom pricing). 2. Accounts and Profile Content

You are responsible for the information you submit, publish, upload, or share through Simpli-FI ID. You must have the rights needed to use names, logos, photos, links, offers, testimonials, and other content in your profile. You are responsible for keeping account credentials secure and for promptly updating inaccurate profile information.

You retain ownership of the content you publish. You grant Simpli-FI OS LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit that content as needed to operate and provide the service, including backups and format conversions. We own the platform, software, and the Simpli-FI ID brand and marks.

3. Public Cards and Contact Collection

Public card information can be viewed by anyone with the card URL, QR code, or short link. Contact collection features (available on Founder and Enterprise plans) must be used only for lawful business networking. When someone shares their contact details back through your card, their consent is recorded alongside their data — do not misuse or redistribute that information.

When you manually add a contact to your CRM (rather than collecting it through our share-back flow), you represent that: (a) you have a lawful basis for holding that contact’s personal information; (b) you collected it through a legitimate channel such as an in-person exchange or prior relationship; and (c) the contact would reasonably expect to be added to a professional networking tool. The consent obligation for manually-added contacts rests with you.

Do not upload or collect sensitive personal information (such as health, financial, or government ID data) without a clear lawful basis and appropriate reason.

If you believe content on a public card infringes your rights, email legal@simpli-fi-os.com with the details. We remove infringing content upon a valid notice and may terminate the accounts of repeat infringers.

4. Payments, Renewals, and Taxes

Ambassador is free and requires no payment method. Professional and Founder are recurring subscriptions billed through Stripe. Professional is $2.99/month or $25/year. Founder is $7.99/month or $75/year. Annual billing is selected by default at checkout. Subscription billing renews automatically on the selected monthly or annual cadence until you cancel. You can cancel or turn off auto-renew at any time through the billing portal (account settings). Enterprise pricing and terms are set in a separate agreement.

You authorize Simpli-FI ID and Stripe to charge the payment method you provide for applicable fees. Prices are in USD. Applicable taxes are determined at checkout.

5. Refunds and Cancellations

Refund and cancellation rules are described in the Refund Policy. Enterprise refund, cancellation, and service-level terms may be handled in a separate written agreement.

6. Acceptable Use

You may not use Simpli-FI ID to:

• Impersonate another person or misrepresent a business relationship.
• Violate any applicable law or regulation.
• Distribute malware, phishing content, or fraudulent links.
• Scrape the service or overload its infrastructure.
• Collect or store contacts without their knowledge or a lawful basis for doing so.
• Send spam or unsolicited commercial messages.
• Publish hateful, harassing, or defamatory content.
• Infringe another party’s intellectual property rights.

We may suspend or remove accounts that violate these terms without prior notice.

7. Third-Party Services

Simpli-FI ID runs on Firebase and Google Cloud, uses Stripe for payments, and may integrate with email delivery and analytics providers. We are not responsible for third-party services, their availability, or their independent terms and policies. References to our own products (like this service) should not be confused with unrelated entities that share a similar name.

8. Availability and Changes

We aim to operate the service reliably, but availability may be interrupted by maintenance, outages, provider issues, or security events. We may update, suspend, or discontinue features as the service evolves and will notify users of material changes when reasonable.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE EXTENT PERMITTED BY LAW.

Simpli-FI ID is a business identity and professional networking tool. It does not provide legal, tax, accounting, medical, financial, or investment advice.

10. Limitation of Liability

To the extent permitted by law, Simpli-FI ID and its operators will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from use of the service.

In no event will the total aggregate liability of Simpli-FI OS LLC arising out of or relating to the service or these Terms exceed the greater of (a) the amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, gross negligence, or willful misconduct.

11. Termination

We may suspend or terminate access if an account violates these terms, creates risk, or is required to comply with law. You may stop using the service at any time, subject to payment obligations already incurred.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the service is the state courts located in Denton County, Texas, and the federal courts serving that county, and you and Simpli-FI OS LLC consent to the personal jurisdiction of those courts. 13. Indemnification

You will indemnify and hold harmless Simpli-FI OS LLC and its members and operators from any third-party claim, demand, loss, or expense (including reasonable attorneys’ fees) arising from (a) content you publish or contacts you collect, store, or use through the service; (b) your violation of these Terms or any law; or (c) your infringement of any third party’s rights.

14. General

Changes to these Terms. We may update these Terms from time to time. Material changes will be posted here with an updated effective date and, where reasonable, notified to account holders; your continued use after the effective date constitutes acceptance. Severability. If any provision is held unenforceable, the remaining provisions remain in full force. Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or successor, including in connection with a merger or sale of assets. Entire Agreement. These Terms, the Privacy Policy, and the Refund Policy are the entire agreement between you and us regarding the service and supersede prior understandings.
